These Terms of Service ("Terms") govern your use of the Tradie AutoPilot service, software, and application provided by TRADIE AUTOPILOT PTY LTD (ACN: 699 733 152, ABN: 56 699 733 152) ("we", "us", or "our"). By creating an account or using our services, you agree to be bound by these Terms.
1. Service Description
Tradie AutoPilot provides an automated document generation, communication, and office management suite for the Australian trade industry. Features include, but are not limited to, AI-generated invoices, quotes, Safe Work Method Statements (SWMS), letters of demand, automated client communication (Ghost Admin), open banking reconciliation, Ambient AI Debrief voice processing, and GPS-enabled timesheets.
2. No Professional Advice
Tradie AutoPilot is a technology platform, not a professional advisory firm. The tools provided within the application are strictly for administrative convenience.
- Financial & Tax Tools: Features such as the "AI Tax Estimator," "EOFY Tax Maximiser," and "Margin Bleed Radar" provide general algorithmic estimates based on your inputs. They do not constitute financial, accounting, or tax advice. You must consult a registered tax agent for official financial guidance. TRADIE AUTOPILOT PTY LTD explicitly disclaims any and all liability for financial losses, underquoting, or tax penalties resulting from AI-generated calculations or "hallucinations". By using these features, you waive any right to claim damages for lost revenue.
- Legal & Debt Recovery Tools: Generated documents such as "Letters of Demand," "Council Permit Applications," and "Dispute De-escalation Emails" are drafted using general AI language models. They do not constitute legal advice. You must verify their legality and suitability for your specific circumstances before sending.
- Work Health & Safety (WHS): The AI SWMS Generator, Vision Hazard Scanner, and pre-job safety checklists do not replace your legal obligation under state and federal law to conduct on-site risk assessments by a competent person. We accept no liability for workplace injuries, fines, or damages resulting from your reliance on an AI-generated SWMS.
- Building Codes & NCC Compliance: Tools such as the "Building Code Ingestor" and compliance checkers reference publicly available data but do not replace the National Construction Code (NCC) or advice from a licensed certifier. You remain strictly liable for ensuring all work meets Australian Standards and local council regulations.
3. Voice, Biometric, and Sensor Data Processing
Our platform incorporates advanced hardware and ambient data capture to facilitate hands-free operation in the field.
- Ambient AI Debrief & Voice Notes: When using voice features, audio data is captured via your device microphone and streamed securely to our third-party AI providers (e.g., Google Cloud/Gemini) for transcription and natural language processing. We do not use your private audio data to train public AI models. You are responsible for ensuring you are not recording confidential or sensitive third-party conversations without consent.
- Voice Cloning & Synthetic Media: If you utilize our voice cloning features (e.g., ElevenLabs integrations) for automated voicemail drops or communications, you warrant that you are only cloning your own voice or have explicit written consent from the individual whose voice is being cloned. You must not use these features to impersonate third parties, commit fraud, or violate the Telecommunications Act 1997 (Cth).
- Biometric Authentication (Passkeys): Tradie AutoPilot utilises WebAuthn to allow login via FaceID, TouchID, or Windows Hello. We do not collect, store, or transmit your raw biometric data; all biometric verification is securely processed locally on your device hardware.
- Hardware Sensors: Tools such as the Digital Bubble Level access your device's accelerometer and gyroscope. This data is processed locally in real-time and is not stored or transmitted.
4. Autonomous Communications ("Ghost Admin")
By enabling the "Ghost Admin" feature, you authorise Tradie AutoPilot to autonomously draft and send SMS messages and emails to your clients on your behalf (e.g., follow-ups, payment reminders, late fee notices, and weather delay alerts).
- You agree that you have obtained the necessary consent from your clients to communicate with them electronically, in compliance with the Spam Act 2003 (Cth).
- Late Fee Enforcement: If you enable the automated late fee feature, you warrant that your default terms of trade legally permit you to charge penalty interest or administrative fees for overdue accounts. Tradie AutoPilot accepts no liability for disputes, chargebacks, or legal action arising from automated late fees being applied to your clients' invoices.
- Abandoned Quote Chasing: Automated SMS or email follow-ups must provide a clear opt-out mechanism. You are solely responsible for ensuring your prospect lists comply with Australian privacy and spam laws.
5. Supplier Catalog Ingestion & Pricing Data
You may upload massive supplier pricing catalogs (PDFs, CSVs) to be processed by our Document AI pipelines into a global or local inventory database.
- You warrant that you have the legal right and permission from your suppliers to upload and process their pricing catalogs.
- Tradie AutoPilot processes these documents purely for your organizational use. We accept no liability for inaccuracies in extracted pricing, SKUs, or inventory resulting from OCR or AI parsing errors. Always cross-check major quotes against official supplier invoices.
6. Security of Payment Legislation (SOPA)
Our software attempts to include standard Security of Payment Act (SOPA) or Building Industry Fairness (BIF) Act endorsements on invoices based on the state jurisdiction you select in your profile. However, legislation varies significantly across states and territories. It is your sole responsibility to ensure the specific wording, timing, and formatting of your invoices allow you to claim under the relevant Act in your specific jurisdiction.
7. Open Banking & Stripe Integrations
Tradie AutoPilot integrates with third-party providers such as Basiq (for read-only Open Banking data) and Stripe (for payment processing).
- We do not hold your banking credentials or process credit card payments directly.
- Any disputes regarding failed payments, chargebacks, or incorrect bank feed reconciliations must be managed through the respective third-party provider or manually verified by your bookkeeper.
8. Client Portal & Third-Party Disputes
Tradie AutoPilot provides a "Client Portal" allowing your customers to view quotes, pay invoices, and interact with documents. We act solely as a technology provider and are not a party to any contract, agreement, or dispute between you and your clients.
- You agree to indemnify us against any claims brought by your clients regarding workmanship, delays, billing disputes, or data breaches arising from your misuse of the platform.
- You are responsible for ensuring the accuracy of all scopes of work, estimates, and variations presented through the Client Portal.
9. Data Security, Retention & Compliance Vault
While we implement robust security measures (including encryption at rest and in transit), no cloud service is 100% immune to breaches. You agree that Tradie AutoPilot is not responsible for the permanent storage or backup of your business records.
- You should independently export and back up critical financial and safety documents to comply with your record-keeping obligations under the Corporations Act 2001 (Cth) and ATO requirements.
- Use of the "Compliance Vault" or "Safety Engine" does not guarantee compliance with SafeWork or Fair Work regulations. Tradie AutoPilot accepts no liability for lost compliance documents or regulatory fines.
10. Limitation of Liability
To the maximum extent permitted by Australian Law, including the Australian Consumer Law (ACL) set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth):
- We exclude all warranties, conditions, and guarantees not expressly stated in these Terms.
- Tradie AutoPilot, its directors, and employees shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits, loss of data, loss of business, or regulatory fines (including ATO or SafeWork penalties) arising from your use of, or inability to use, the service.
- If a non-excludable guarantee under the ACL is breached, our liability is strictly limited to (at our option) supplying the services again, or refunding the subscription fees you have paid to us in the three (3) months preceding the claim.
11. Subscription, Refunds, and Cancellations
Access to Tradie AutoPilot requires an active subscription. You may cancel your subscription at any time, which will revoke your access at the end of the current billing cycle. We do not provide refunds or pro-rata refunds for partially unused billing periods under any circumstances. By subscribing, you agree that your payment is non-refundable. If you cancel your subscription, you will retain access to the platform until the end of your paid billing term.
12. Electronic Signatures and Portal Actions
The Tradie AutoPilot platform provides a "Client Portal" that allows your customers to electronically sign quotes, approve variations, and select premium upgrades. You and your clients agree that electronic signatures, approvals, and button clicks within the portal constitute a legally binding agreement and satisfy any legal requirement for a contract to be in writing under the Electronic Transactions Act 1999 (Cth).
13. Communication Tracking and Radar
Our "Radar" feature tracks when emails are delivered, opened, clicked, or bounced to help you verify the delivery of your documents and communications. By using this feature, you warrant that your business privacy policy explicitly notifies your clients that their interactions with your emails and documents are tracked and recorded for administrative and legal purposes.
14. Intellectual Property
The software, algorithms, user interface, AI prompt logic, and site design remain the exclusive intellectual property of Tradie AutoPilot. You are granted a limited, non-exclusive, non-transferable licence to use the service for your own business operations. You may not reverse-engineer, scrape, or attempt to extract the source code or proprietary AI prompts of the platform.
15. Absolute Indemnification
You agree to fully defend, indemnify, and hold harmless TRADIE AUTOPILOT PTY LTD, its directors, employees, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including but not limited to legal fees) arising from: (i) your use of and access to the service; (ii) your violation of any term of these Terms; (iii) any claim that your use of the service caused damage to a third party (including your clients); or (iv) any data breach or WHS incident resulting from your reliance on the platform. This indemnification obligation will survive these Terms and your use of the service.
16. Mandatory Arbitration and Class Action Waiver
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved by mandatory, binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in Sydney, New South Wales. YOU AND TRADIE AUTOPILOT PTY LTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17. Force Majeure
TRADIE AUTOPILOT PTY LTD shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, telecommunications failures, or widespread cyber-attacks against our third-party sub-processors (e.g., Google Cloud outages).
18. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein. These Terms constitute the entire agreement between you and TRADIE AUTOPILOT PTY LTD.
19. Governing Law
These Terms and your use of Tradie AutoPilot are governed by the laws of New South Wales, Australia, without regard to its conflict of law principles, subject to the mandatory arbitration clause above.
